I, the undersigned, hereby irrevocably grant to Keypath Education, LLC on behalf of Spring Arbor University and its affiliates, parents, subsidiaries and assigns, and those acting with their authority, (collectively, the “Company”), the worldwide, royalty-free, non-exclusive and perpetual right to obtain, take, record and use my name, voice, appearance, likeness, image, form, and photographs, pictures, portraits, films, movies and videos of me (collectively, my “Name and Likeness”), in any and all forms and media, and in all manners, without limitation as to frequency or duration, and for any lawful purposes, commercial and/or non-commercial, including, but not limited to, editorial, advertising, sales, marketing and promotional materials related to the Company’s products and services.

I further irrevocably grant to the Company the worldwide, royalty-free, non-exclusive and perpetual right to obtain, take, record and use endorsements, testimonials, biographical information, letters, e-mails and other statements from me (collectively, my “Statements”), in any and all forms and media, and in all manners, without limitation as to frequency or duration, and for any lawful purposes, commercial and/or non-commercial, including, but not limited to, editorial, advertising, sales, marketing and promotional materials related to the Company’s products and services. The Company shall have the right to attribute my Statements to me, as an expression of my personal experience and beliefs, and to use my Name and Likeness in association with my Statements, all in the Company’s sole discretion.

I hereby waive any and all rights that I may have regarding the use of my Name and Likeness and my Statements by the Company as set forth in this Release, including, without limitation, any right to inspect, approve or object to such use or to the editorial, advertising, sales, marketing and promotional materials, or other materials, with which my Name and Likeness and my Statements may be used, or in which my Name and Likeness and my Statements may appear. I hereby grant, assign and convey, and agree to grant, assign and convey, to the Company all right, title and interest in my Statements, and in any photographs and other materials depicting my Name and Likeness that I have provided (or will provide) to the Company.

I represent and warrant that: (i) my Statements are (and will be) true and accurate, and reflect my honest belief about the Company’s products and/or services that I am endorsing, and I will promptly advise the Company in writing if my Statements no longer reflect my honest belief about such products and/or services; (ii) I am providing my Statements of my own free will and I have not been paid a monetary sum for doing so; and, (iii) my Statements, and any photographs or other materials depicting my Name and Likeness, that I have provided (or will provide) to the Company are (and will be) original and do not (and will not) infringe upon the copyright or other proprietary rights of any other person or entity. I acknowledge that I will receive no compensation from the Company other than any goodwill and publicity that I may receive relating to use by the Company of my Name and Likeness and/or my Statements as set forth in this Release.

I, on behalf of myself and my representatives, agents, heirs, successors and assigns, hereby fully and completely release, forever discharge, hold harmless and agree to indemnify the Company (including any third parties that publish and/or distribute works and materials containing my Name and Likeness and/or my Statements) from any and all claims, liabilities demands, actions, suits, causes of action and damages (including costs, expenses and attorneys’ fees), that I now have, or hereafter can, shall, or may have, arising out of or in connection with the Company’s use of my Name and Likeness and/or my Statements as set forth in this Release.

I hereby warrant that I am at least eighteen (18) years of age and have the full legal capacity and authority to execute this Release. I further state that I have read this Release prior to its execution, I am fully familiar with the contents hereof and I am voluntarily signing it with the intent to be legally bound by its terms. This Release shall be binding upon me and my heirs, legal representatives, successors and assigns. This Release constitutes the complete understanding between me and the Company regarding the subject matter herein and supersedes all prior agreements, negotiations and discussions regarding such subject matter. No modification of this Release shall be effective unless it is made in writing and signed by both me and an authorized representative of the Company.
